End-User Terms of Use

These End-User Terms of Use (“End-User Terms”) govern your access to and use of the Caeli platform, applications, integrations, and related services (collectively, the “Services”) when you use the Services as an individual end user, including as an employee, contractor, consultant, or other authorized user of a Caeli customer (“Customer”).

By accessing or using the Services, you agree to these End-User Terms.


1. RELATIONSHIP TO CUSTOMER

You are accessing the Services on behalf of, or at the direction of, a Customer. Your use of the Services is subject to the agreement between Caeli and the Customer (the “Platform Agreement”).

If there is a conflict between these End-User Terms and the Platform Agreement, the Platform Agreement controls.

Caeli does not have a direct contractual relationship with you separate from the Customer’s agreement.


2. AUTHORIZED USE

You may use the Services only:

  • for lawful purposes;
  • in connection with the Customer’s authorized use of the Services; and
  • in accordance with these End-User Terms, the Acceptable Use Policy, and any applicable Customer policies.

You may not access or use the Services if you are not authorized by the Customer.


3. ACCEPTABLE USE AND CONDUCT

You agree not to:

  • misuse, disrupt, or interfere with the Services;
  • attempt to gain unauthorized access to systems or data;
  • impersonate another person or misrepresent your role or authority;
  • upload or share content you do not have the right to use;
  • use the Services to engage in unlawful, harmful, or deceptive activity; or
  • attempt to reverse engineer, extract, or misuse the underlying technology of the Services.

Your use of the Services is also subject to the Acceptable Use Policy.


4. AI-ASSISTED FEATURES

The Services may include AI-assisted features designed to support workflows and provide information or guidance.

You acknowledge that:

  • AI-assisted outputs are intended to support, not replace, human judgment;
  • outputs may depend on the information provided and available data sources; and
  • you should follow the Customer’s policies and procedures when relying on or acting upon outputs generated by the Services.

5. PRIVACY AND DATA CONTEXT

Personal data you provide or generate when using the Services on behalf of a Customer (“Customer Data”) is processed by Caeli on behalf of the Customer, in accordance with the Platform Agreement and the Data Processing Addendum.

Caeli’s Privacy Policy explains how Caeli processes personal data where Caeli acts as a data controller (such as for website interactions or direct communications), but it does not govern Customer Data.

If you have questions about how your employer or organization handles your data, please contact the Customer directly.


6. SUSPENSION OR TERMINATION OF ACCESS

Caeli may suspend or terminate your access to the Services:

  • at the request of the Customer;
  • if your access is no longer authorized; or
  • if your use violates these End-User Terms or applicable policies.

Suspension or termination of your access does not affect the Customer’s obligations under the Platform Agreement.


7. CHANGES TO THESE END-USER TERMS

Caeli may update these End-User Terms from time to time. Updated terms will be made available through the Services or other reasonable means. Continued use of the Services after updates constitutes acceptance of the revised End-User Terms.
