Service-Specific Terms

These Service-Specific Terms (“Service Terms”) apply to certain features, capabilities, integrations, or modules of the Services and form part of the Terms governing your use of the Services. Capitalized terms not defined in these Service Terms have the meanings set forth in the Platform Agreement or other applicable Terms.


1. SCOPE AND APPLICABILITY

These Service Terms apply only to the extent Customer enables, accesses, or uses the specific features or capabilities described herein. Not all Services include all capabilities described in these Service Terms.

These Service Terms supplement, and do not replace, the Platform Agreement. In the event of a conflict, the Platform Agreement shall control unless expressly stated otherwise.


2. PREVIEW AND EXPERIMENTAL FEATURES

Certain features or capabilities of the Services may be designated as preview, beta, experimental, early access, or similar (collectively, “Preview Features”).

Preview Features:

  • are provided for evaluation and feedback purposes only;
  • may be modified, limited, suspended, or discontinued at any time;
  • may not be supported by service level commitments or availability guarantees; and
  • are provided “as is” and “as available,” without warranties of any kind.

Customer acknowledges that Preview Features are not intended for production-critical use and assumes all risk arising from their use.


3. CUSTOMER-PROVIDED CONTENT AND DOCUMENTS

The Services may enable Customer to upload, submit, ingest, or otherwise provide documents, data, and content, including HR policies, benefit plan materials, eligibility rules, and related information (“Customer-Provided Content”).

Customer represents and warrants that:

  • it has all rights and permissions necessary to provide Customer-Provided Content to the Services;
  • Customer-Provided Content is accurate, current, and lawful; and
  • Customer-Provided Content does not infringe or violate the rights of any third party.

Caeli processes Customer-Provided Content solely to provide the Services in accordance with the Terms. Customer acknowledges that outputs generated by the Services depend on the quality, completeness, and accuracy of Customer-Provided Content.


4. WEB-RETRIEVED AND THIRD-PARTY SOURCE CONTENT

Certain features of the Services may retrieve, reference, summarize, or analyze information from publicly available or third-party sources, including websites, regulatory guidance, benefit provider materials, or other external content (“Third-Party Source Content”).

Customer acknowledges that:

  • Third-Party Source Content is provided for informational purposes only;
  • Caeli does not control, endorse, or guarantee the accuracy, completeness, or timeliness of Third-Party Source Content; and
  • Third-Party Source Content may be subject to separate terms or restrictions imposed by the applicable third party.

Customer is responsible for determining how Third-Party Source Content is used and relied upon within its organization.


5. INTEGRATIONS AND THIRD-PARTY SERVICES

The Services may integrate with or interoperate with third-party platforms, applications, or services, including collaboration tools, HRIS systems, benefit administrators, payment providers, or other third parties (“Third-Party Services”).

Customer acknowledges that:

  • use of Third-Party Services is optional and subject to the terms and policies of the applicable third party;
  • availability and functionality of integrations may change due to actions taken by the third party; and
  • Caeli is not responsible for Third-Party Services or for the acts or omissions of third-party providers.

Data shared with Third-Party Services is processed in accordance with the applicable Terms and the third party’s own privacy and security practices.


6. AI-ASSISTED FEATURES

Certain features of the Services use artificial intelligence, machine learning, natural language processing, automation, or similar technologies (“AI-Assisted Features”).

Customer acknowledges that:

  • AI-Assisted Features generate outputs based on Customer-Provided Content, Authorized User inputs, and available data sources;
  • outputs are intended to support Customer workflows and decision-making, not replace professional judgment; and
  • outputs may vary based on inputs, configurations, or updates to underlying systems.

AI-Assisted Features are governed by the Platform Agreement and these Service Terms.


7. CHANGES TO SERVICES

Caeli may update, modify, or enhance the Services and the capabilities described in these Service Terms from time to time. Caeli may add, modify, or retire Service-Specific Terms as new features or capabilities are introduced or discontinued.

Continued use of the applicable Services constitutes acceptance of the updated Service-Specific Terms.
